Fort Technology Inc., listed on both the Nasdaq and TSX Venture Exchange, has signed a share transfer agreement to acquire a controlling 50.1% stake in Logia USA Inc., a company that sells advanced fuel integrity solutions to data centers and other mission-critical facilities across the United States. The deal was formalized on August 11, 2026, and represents a meaningful strategic pivot for the Toronto-based firm into the infrastructure reliability space.
Logia USA was founded by Yair Harel, who serves as the company's sole shareholder. Fort Technology confirmed that Harel is an arm's-length party — meaning there is no pre-existing relationship between the founder and Fort that could raise conflict-of-interest concerns — a disclosure standard required for regulated public company transactions on both the Nasdaq and TSXV.

The acquisition targets a niche but increasingly critical market segment. Data centers depend on backup diesel generators to maintain uptime during grid outages, and fuel degradation can render those systems unreliable precisely when they are needed most. Fuel integrity solutions — which typically involve monitoring, testing, and treating stored fuel — have become a serious operational priority as hyperscale and enterprise data center construction accelerates across the U.S.
By securing majority control rather than a full buyout, Fort Technology retains the founder's continued involvement while gaining consolidation rights over Logia USA's financials and strategic direction. The 50.1% threshold is the minimum needed to classify Logia USA as a subsidiary under standard accounting rules, suggesting Fort is building toward a larger footprint in critical infrastructure services without committing to full upfront acquisition costs.
